Terms and Conditions of the Amazon Seller Launch Hungama Promotion

The Amazon Seller Hungama Promotion ("Promo") is a promotion offered by Amazon Seller Services Private Limited ("Amazon") to any person who intends to sell on the Amazon.in India Marketplace, www.amazon.in, (the "Amazon Site") by agreeing to the terms of the Amazon Services Business Solutions Agreement ("Business Solutions Agreement").

These Promo terms and conditions ("Promo Terms") are in addition to the Amazon.in Conditions of Use and Sale to which you agree to by using the Amazon Site. To the extent the Amazon.in Conditions of Use and Sale are inconsistent with these Promo Terms; these Promo Terms will prevail with respect to the Promotion only.

This Promo is available to any person who: (a) launches as a seller on the Amazon Site by agreeing to the Business Solutions Agreement, excluding persons who launch as sellers only in the "Clothing" and/ or "Grocery" products categories, during the Launch Period; and (b) thereafter makes a sale through the Amazon Site during the Incentive Period; (such person hereinafter referred to as "Eligible Seller").

For the purposes of these Promo Terms, "Launch Period" shall mean the period commencing from [Monday, 14th September], 2015 up to [Sunday, 27th September ], 2015 (both days inclusive); and "Incentive Period" shall mean the period commencing from [Monday, 14th September ], 2015 up to [Sunday, 11th October], 2015 (both days inclusive). Launch Period and Incentive Period are hereinafter collectively referred to as "Promo Period".

An Eligible Seller will be entitled to receive certain Rupees' balance as incentives ("Incentives") amounting to [5] % of the total order value for each order placed during the Incentive Period, for products listed by the Eligible Seller on the Amazon Site, excluding (A) orders cancelled by either the purchaser or the Eligible Seller or through any automated medium; and/ or (B) orders where the purchased product is returned or refunded by the purchaser.

The maximum Incentives that an Eligible Seller can receive under this Promo is [Rs 5,000].

During the Promo Period, in the event the seller account of an Eligible Seller on the Amazon Site is suspended or blocked, for any reason whatsoever, such Eligible Seller will not be eligible to receive any Incentives from the date of such suspension or blocking.

Amazon reserves the right to determine or modify, in its sole and absolute discretion, if any action would result in earning of Incentives by an Eligible Seller, including the calculation of such Incentives.

The Incentives earned by an Eligible Seller will be directly credited to the bank account and updated on the Seller Central account of the Eligible Seller on the Amazon Site on or before [Tuesday, 17th November, 2015].

Amazon reserves the right to terminate any Eligible Seller's participation under the Promo, at any point of time, in its sole and absolute discretion, with or without cause, including contravention of any provision of these Promo Terms or the Business Solutions Agreement (even if such breach does not lead to termination of the Business Solutions Agreement).

You acknowledge and agree that at any point of time, Amazon reserves the right to cancel, modify, change, suspend or withdraw any of the Promo Terms as it may deem fit, in part or in their entirety, with or without cause, without giving any prior notice without incurring any liability whatsoever. Notwithstanding the aforesaid, any change to the actions that would result in earning of Incentives under this Promo will be communicated to you on the Amazon Site by means of a change notice or through an e-mail communication to you.

Amazon does not waive any right under these Promo Terms by failing to insist on compliance with any of the provisions of these Promo Terms or by failing to exercise any right hereunder. To the extent permissible under any applicable laws, Amazon waives and disclaims all responsibility and liability for any damages or losses arising out of any statute, contract or otherwise from or in connection with the Promo or any program related activities and any benefits provided hereunder.

The entire relationship between an Eligible Seller and Amazon is governed by these Promo Terms as well as the Business Solutions Agreement between such Eligible Seller and Amazon. With respect to this Promo, in the event of any conflict in the provisions of the Business Solutions Agreement and these Promo Terms, these Promo Terms shall prevail.
